Job Purpose
This role will report to the General Counsel and will partner across multiple departments on a variety of matters, including leading the compliance function, public company reporting and securities compliance, board matters and corporate governance, corporate finance transactions, executive compensation, contract drafting and negotiation and other general corporate matters. The individual must thrive in a high-performing and collaborative environment. In this position you will have the opportunity to:
- Assist in the preparation of SEC filings: 10-K annual reports, 10-Q quarterly reports, 8-K current reports and proxy statements.
- Advise and provide support on corporate governance matters, including matters relating to the board of directors and senior management, the annual meeting of stockholders, corporate policies and investor outreach.
- Review and advise on press releases, the corporate website, investor presentations, and other external communications.
- Oversee Section 16 filings, administration of 10b5-1 plans and trading windows.
- Lead the company’s compliance efforts.
- Develop and prepare policies and procedures covering a wide range of topics with support from specialists in each area.
- Provide support on treasury and finance transactions, including debt offerings and credit agreements.
- Support HR on equity plans, severance plans and other benefit offerings.
- Assist with coverage of general corporate and legal matters, as needed.
- Supervise paralegals.
- Appropriately manage a heavy workflow, set appropriate priorities with clients and deliver results efficiently.

What do I need to be successful?
- 5+ years of corporate and securities experience with ability to handle responsibility with minimum supervision. Prefer previous in-house experience with responsibilities for compliance matters.
- Experience drafting and negotiating a variety of contracts and transactional documents.
- Ability to manage and serve a wide range of clients within the company by prioritizing projects and responding efficiently and pragmatically to urgent situations and demanding clients.
- A team player who is collaborative, resourceful, flexible and willing to engage in a wide variety of tasks and responsibilities.
- Excellent interpersonal and communication skills (written and oral), research skills and attention to detail.
- Good business judgment, high level of professional integrity and the discretion, tact and ability to maintain confidentiality on sensitive business matters.
Education
- Juris Doctorate from a nationally recognized law school.
- Admitted to practice in at least one U.S. state bar, and eligible to be admitted to practice law in the State of Tennessee.
Work Environment
- This position will work at home and in our Nashville office on a hybrid schedule
- Must live within a commutable distance to Nashville or willing to relocate to the greater Nashville area
